Priced equity — ordinary shares subscribed at a US$500,000 pre-money valuation. Not a SAFE, not a convertible note: there is no valuation cap, no discount and no MFN clause, because there is nothing to convert. What an investor buys is the stated percentage of the company, on the day the round closes.

The valuation, defended from both sides

Why not lower. A lower number would price at nothing what already exists and is publicly verifiable: a trilingual business-AI platform with 80+ working tools, 250+ published content units across 15+ sectors, four AI-readiness assessments, a published price list across two regional tiers, and a delivered, named client assistant — the Franco-Dominican Chamber helpdesk. None of that is a plan. It is on the site, in three languages, today.

Why not higher. We do not publish revenue, and we will not price on a number an investor cannot check. The valuation is our own estimate and an opening position, not a market multiple: we would rather grow into a larger figure than defend one we cannot yet evidence in public. What is not published is available on request.

That is long enough to ship self-serve subscription and the Group console, to package the custom-assistant build so the second client costs less than the first, and to sell into a full annual cycle of chambers, associations and holdings in both price regions — with a quarter of margin before the next conversation about capital.

What we are not raising for

  • Not runway to discover whether the product works. It is built, published and priced.
  • Not paid acquisition at any cost. The educational layer is the acquisition surface, and it is already there.
  • Not headcount ahead of demand. Capacity is added when a signed engagement needs it.
  • Not rebuilding what the CEMI group platform already provides — production, delivery and the shared persona engine come from the group, not from this round.

How this relates to the CEMI.ai group round

We are open to investment at two levels. At group level, backing the shared platform — the Personai engine, CEMI Factory and CEMI Solutions — which compounds across the whole portfolio. At initiative level, backing a specific sector business approaching commercialization, with its own market, its own customers and its own economics.
