Seven questions every investor asks, answered plainly — then the list of what opens under NDA, and how fast.

What is the instrument, and what are its terms?

Priced equity — ordinary shares subscribed at a US$500,000 pre-money valuation. Not a SAFE, not a convertible note: there is no valuation cap, no discount and no MFN clause, because there is nothing to convert. What an investor buys is the stated percentage of the company, on the day the round closes. The round is US$100,000 at US$500,000 pre-money and US$600,000 post-money, for 16.67% of the company. The investing entity, its jurisdiction and the subscription documents are settled at term-sheet stage and form part of the diligence pack. They are not published here.

Why this amount?

US$100,000 is what an 18-month plan costs when the product is already built. It is not survival money: the platform is published and operating, the price list is public, and an institutional client assistant has been delivered. The round pays for the commercial machinery around all of that — self-serve subscription, the Group console, a packaged version of the custom build, and a full annual selling cycle in two price regions.

It also sets the valuation at the CEMI house convention rather than at a number argued from scratch: pre-money five times the ask, post-money six times, a sixth of the company for the round. Consistency across the group’s initiatives is deliberate.

What does my ticket dilute to?

At the US$600,000 post-money: US$10,000 is 1.67%, US$25,000 is 4.17%, US$50,000 is 8.33%, and US$100,000 — the whole round — is 16.67%. That table is the only cap-table figure published; the rest opens under NDA.

What is available under NDA, and how do I get it?

Under signed NDA: the cap table; incorporation, shareholding and IP-assignment documents; revenue to date, run rate and per-client billing; the financial model behind the plan; client names and engagement artefacts, including the Franco-Dominican Chamber build; the product roadmap; the technical architecture of the AI Suite and the assistant pipeline; the security and data-protection posture; and the executed subscription-agreement template.

How does this round relate to CEMI.ai?

We are open to investment at two levels. At group level, backing the shared platform — the Personai engine, CEMI Factory and CEMI Solutions — which compounds across the whole portfolio. At initiative level, backing a specific sector business approaching commercialization, with its own market, its own customers and its own economics.

Money into iBizAI funds this company’s plan. Money into the group funds the shared platform every initiative runs on. The two are complementary, and an investor may enter at either level.

What are the exit paths?

Stated as paths, not predictions. A regional systems integrator or enterprise-software group acquiring a productised, multilingual AI layer with institutional relationships already in place. A platform serving chambers, associations or cooperatives acquiring the Group edition and its installed base. A secondary purchase at group level as CEMI consolidates its portfolio. Or no exit event at all, and distributions from a cash-generative services and subscription business — which is the outcome the plan is actually built for.

No exit timeline is projected, and none should be inferred.

What happens if the round does not close?

The round proceeds at US$50,000 or above. Below that, commitments are released and nothing is drawn — no investor is left funding a partial plan.

The company does not stop. The platform is published, the content is live and the offer is priced; without the round the commercial build-out is sequenced more slowly and funded from services work instead. Slower, not fatal.

Are the executives on the team page real people?

No, and the site says so everywhere they appear. Carlos Miranda Levy is the human. The executive team is a set of original AI personas held in the CEMI Personas single source of truth; they set voice, discipline and perspective. They hold no equity, are not in the cap table, and cannot sign.

What is the current revenue?

Not published — neither revenue, run rate, client names nor per-client billing. All of it opens under NDA on the terms above. The published prices on /services/ai-suite/ are quoted in full on the revenue page; what any given client actually pays is a commercial term between us and that client.
